TERMS

1. Acceptance of Terms
By accessing or using the services of ITX Agency ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.
2. Services
ITX Agency provides automation, growth engineering, e-commerce scaling, creative production, social media operations, and marketing intelligence services. The specific scope, deliverables, and timelines are defined in a separate proposal or service agreement signed by both parties.
3. Client Obligations
- Provide accurate and complete information necessary for project execution.
- Grant timely access to relevant accounts, tools, platforms, and data.
- Respond to requests and feedback within agreed timeframes.
- Ensure all provided materials do not infringe third-party rights.
4. Payments and Refunds
Fees, billing cycles, and payment terms are specified in the applicable proposal or agreement. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may result in project suspension. Refunds are provided only as expressly set out in the service agreement.
5. Intellectual Property
Upon full payment, the client receives ownership of custom deliverables created specifically for the project. ITX Agency retains ownership of pre-existing IP, reusable components, methodologies, and tools. We reserve the right to use anonymized project data for portfolio and case-study purposes unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information disclosed during the engagement and to use it solely for the purpose of delivering the agreed services.
7. Limitation of Liability
To the fullest extent permitted by law, ITX Agency's liability is limited to the amount paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or lost profits.
8. Termination
Either party may terminate the engagement in accordance with the terms specified in the service agreement. Upon termination, the client remains liable for all fees incurred up to the termination date.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Poland. Any disputes shall be resolved in the courts of Poland.
10. Changes to Terms
We may update these Terms from time to time. The current version will always be available at itx.5m.pl/terms.html. Continued use of our services after changes constitutes acceptance of the revised terms.
